Licence Agreement

This End User Licence Agreement (“Agreement”) is between MiiiA Pty Ltd (ABN 87 119 486 118), referred to as “MiiiA”, “we”, “us” or “our”, and the organisation or person that purchases a licence to, installs or uses the MiiiA software solution(s) this Agreement accompanies (the “Customer” or “you”). It governs the Customer’s right to install and use MiiiA’s Microsoft Dynamics 365 and Power Platform solutions, including D365 Checklists and D365 Tiles and any edition or version of them (each a “Solution”).

By installing, accessing or using a Solution, you acknowledge that you have read this Agreement, understand it, and agree to be bound by it. If you accept this Agreement on behalf of an organisation, you confirm that you have authority to bind that organisation. If you do not agree, you must not install or use the Solution.

This Agreement applies only to MiiiA’s packaged Dynamics 365 and Power Platform add-on solutions, currently D365 Checklists and D365 Tiles. It does not apply to MiiiA’s consulting, support, implementation, managed services or other project work, which are governed by separate written agreements.

The Solutions are not sold through this Website. A Solution may be purchased directly from MiiiA or, where MiiiA makes it available there, through Microsoft Marketplace (including Microsoft AppSource). In either case, this Agreement applies together with the applicable Order.

1. Definitions

  • Authorised User means an individual employee, contractor or agent of the Customer whom the Customer permits to use a Solution for the Customer’s internal business purposes.
  • Component means any software component supplied as part of a Solution, including solution files, Power Apps component framework (PCF) controls, plug-ins, custom APIs, workflows, web resources, tables, forms, views, scripts and other software components.
  • Environment means a Microsoft Dataverse environment (including a Dynamics 365 environment or instance) in which a Solution, or any Component, is installed, deployed or used.
  • Licence Metric means the basis on which a Solution is licensed, as described in section 3.
  • Order means the quote, order form, order confirmation, invoice, Microsoft Marketplace plan or offer, or other purchasing record under which the Customer acquires a licence to a Solution.
  • Subscription Term means, for a Solution licensed on a subscription basis, the subscription period stated in the Order, including any renewal.

2. Licence

In consideration of payment of the applicable fees and the Customer’s compliance with this Agreement, MiiiA grants the Customer a non-exclusive, non-transferable, non-sublicensable licence to install and use the Solution, and to permit its Authorised Users to use the Solution, for the Customer’s internal business purposes, in accordance with the Licence Metric and quantities specified in the Order. The Customer is responsible for its Authorised Users’ compliance with this Agreement.

3. Licence Metric

Each Solution is licensed in accordance with the Licence Metric specified in the applicable Order. The Licence Metric may be per Environment, per Authorised User, per subscription period, or another metric expressly specified by MiiiA. Where an Order does not specify a Licence Metric, the Solution is licensed per Environment.

Per-Environment licences. Where the Licence Metric is per Environment, a separate licence is required for each Environment in which the Solution or any Component is installed or used, including Production, Sandbox, Development, Test and UAT Environments. Additional Environments on the same Microsoft tenant may attract a discount, as set out in the current pricing for the Solution.

Per-User licences. Where the Licence Metric is per user, the number of Authorised Users who access or use the Solution at any time must not exceed the number of user licences purchased. Each user licence is assigned to one named individual and must not be shared. A user licence may be reassigned to another individual when the original individual no longer requires access, but not in a way that allows more individuals to use the Solution than the number of licences purchased.

4. Components

The licence applies to each Solution as a whole and to every Component supplied as part of it. Components are licensed only as part of their Solution and under the same Licence Metric; they are not licensed separately. Installing, deploying, using or invoking any Component is treated as use of the Solution.

The Customer must not extract, deploy, use or invoke a Component in any Environment, or for any user, that is not covered by a valid licence for the Solution - for example, by adding a Solution’s PCF control to another model-driven app, form or solution, or by calling a Solution’s custom API or plug-in from other code - or in any other manner that circumvents the applicable Licence Metric.

5. Restrictions

The Solution contains trade secrets of MiiiA. The Customer must not, and must not permit any other person to:

  • sell, resell, rent, lease, lend, sublicense, distribute or otherwise commercially exploit the Solution or any Component;
  • make the Solution or any Component available to, or use it for the benefit of, any third party other than the Customer and its Authorised Users - including by providing it as part of a hosted, bureau or managed service to other organisations - unless expressly agreed in writing by MiiiA;
  • install, deploy or use the Solution or any Component in more Environments, or for more users, than the Customer is licensed for;
  • share access credentials or licence keys, or allow one user licence to be used by more than one individual;
  • disable, bypass, remove or interfere with any licence key, licence check or other technical licensing mechanism, or otherwise circumvent the applicable Licence Metric;
  • copy or modify the Solution or any Component, except for configuration using the Solution’s intended settings and features, and copies reasonably necessary to install, back up and use the Solution as permitted by this Agreement;
  • reverse engineer, disassemble, decompile or translate the Solution, attempt to derive its source code, or authorise any third party to do so, except to the extent that applicable law expressly permits this despite this restriction; or
  • assign or transfer this Agreement or any licence granted under it without MiiiA’s prior written consent. Any attempt to do so is void and will terminate this Agreement.

Nothing in this section limits the Customer’s right to permit its Authorised Users to use the Solution in accordance with this Agreement and the applicable Licence Metric.

6. Ownership

The Solutions and their Components are the property of MiiiA and are protected by applicable patent, copyright, trade secret, trademark and other proprietary rights. The Solutions are licensed, not sold, to the Customer for use only under the terms of this Agreement. MiiiA reserves all rights not expressly granted to the Customer.

7. Fees, payment and term

Fees, payment terms and the licence term for a Solution are as set out in the applicable Order.

Direct purchases from MiiiA. Unless the Order states otherwise, a per-Environment licence purchased directly from MiiiA is a one-time payment per Environment, with no ongoing subscription and no automatic renewal. Payment may be made by EFT or credit card (processed via Stripe for international customers); GST applies to Australian entities. Once payment has been received in full for an Environment, the licence for that Environment continues for as long as the Customer complies with this Agreement.

Subscriptions. Where a Solution is licensed on a subscription basis, the licence continues for the Subscription Term and ends when the subscription expires or is cancelled and is not renewed.

Microsoft Marketplace purchases. Where a Solution is purchased through Microsoft Marketplace, Microsoft handles billing, and payment, renewal, cancellation and refunds are governed by the applicable Marketplace plan and Microsoft’s Marketplace terms. This Agreement continues to govern the Customer’s use of the Solution.

Order of precedence. If an Order conflicts with this Agreement, the Order prevails in relation to the Licence Metric, quantities, fees, payment and term, and this Agreement prevails in relation to everything else.

8. Support and updates

Unless expressly agreed in writing or stated in the applicable Order, the licence fee does not include implementation, configuration, training, support, maintenance, customisation, or future updates. MiiiA may make updates or new versions available from time to time, but is not obliged to do so.

9. Microsoft dependency

The Solutions are designed for use with Microsoft Dynamics 365, Microsoft Power Platform, Microsoft Dataverse and related Microsoft services. The Customer is responsible for obtaining and maintaining the Microsoft licences and services required to use the Solutions. MiiiA is not responsible for changes to Microsoft products, services, APIs, licensing, security models or platform behaviour that affect the operation of the Solutions.

10. Termination

This Agreement terminates immediately if the Customer breaches any of its terms, including any unlicensed installation, use, copying or distribution of a Solution or Component. A subscription licence also ends at the end of its Subscription Term if it is not renewed. On termination or expiry, the Customer must stop using, and remove the Solution and all its Components from, every Environment for which a valid licence is not held. The sections that by their nature should survive termination - including Ownership, Warranty disclaimer and Limitation of liability - will continue to apply.

11. Warranty disclaimer

EXCEPT AS EXPRESSLY PROVIDED IN THIS AGREEMENT, THE SOLUTIONS ARE PROVIDED “AS IS” AND MIIIA MAKES NO REPRESENTATIONS OR WARRANTIES. TO THE FULLEST EXTENT PERMITTED BY LAW, MIIIA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT OF THIRD-PARTY RIGHTS. MIIIA DOES NOT WARRANT THAT THE SOLUTIONS ARE ERROR-FREE, THAT THEIR OPERATION WILL BE UNINTERRUPTED, OR THAT THEY WILL MEET YOUR PARTICULAR REQUIREMENTS.

Nothing in this Agreement excludes, restricts or modifies any consumer guarantee, right or remedy under the Australian Consumer Law that cannot lawfully be excluded.

12. Limitation of liability

To the fullest extent permitted by law, MiiiA’s total liability arising out of or in connection with a Solution or this Agreement is limited to the licence fees the Customer paid for the affected Solution in respect of the affected Environment or, for a subscription, the fees the Customer paid for the affected Solution in the 12 months before the event giving rise to the liability. MiiiA is not liable for any indirect, incidental or consequential loss, or for any loss of data, profit, revenue, business opportunity or goodwill.

Nothing in this Agreement excludes, restricts or modifies any consumer guarantee, right or remedy under the Australian Consumer Law that cannot lawfully be excluded. Where MiiiA is permitted to limit its liability for breach of a consumer guarantee, MiiiA’s liability is limited, at its option, to resupplying the relevant goods or services, repairing or replacing the relevant goods, or paying the cost of having them resupplied, repaired or replaced.

13. Waiver

No failure to enforce any term of this Agreement constitutes a waiver of that term in the future, unless the waiver expressly says so by its terms.

14. Severability

If any part of this Agreement is found to be invalid, illegal or unenforceable, the validity, legality and enforceability of the remaining provisions will not be affected and they will remain in full force and effect.

15. Governing law

This Agreement is governed by the laws of Victoria, Australia, and the parties submit to the non-exclusive jurisdiction of the courts of that state.
